END‑USER LICENSE AGREEMENT (EULA)

Issued by: StructuralIntel.org Inc. (the “Company”, “we”, “us”, “our”)
This End‑User License Agreement (“Agreement”, “EULA”) governs your (the “User”, “you”, “your”, “Contractor”) access to and use of the StructuralIntel.org Inc. software platform (the “Software”, “Service”, “Platform”). By creating an account, logging in, or otherwise using the Software you accept all of the terms below. If you do not agree, you must immediately cease all use of the Software.
1. GRANT OF LICENSE
1.1 License. Subject to payment of the applicable subscription fee and compliance with this Agreement, the Company grants you a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Software solely for your internal business operations related to landscaping, estimating, contracting, CRM, scheduling, or other workflow functions.
1.2 Scope. The licence is personal to your organisation and may not be shared with any third party outside your business without the Company’s prior written consent.
2. OWNERSHIP
2.1 The Software, including all source code, binaries, algorithms, UI/UX designs, documentation, trademarks, trade secrets, and any enhancements or updates, is and shall remain the exclusive property of StructuralIntel.org Inc.
2.2 Nothing in this Agreement conveys any ownership, title, or other interest in the Software to you, nor any right to use the Company’s intellectual‑property beyond the licence expressly granted in Section 1.
3. RESTRICTIONS ON USE
You shall not:

Derivative WorksCreate, develop, or market competing products or services that are based on, incorporate, or are derived from the Software or its outputs.
Unauthorized AccessAccess or attempt to access other users’ data, share login credentials externally, use automated scraping/bot tools, or bypass any authentication, paywall, or usage limits.
Training ModelsUse the Software’s outputs, internal logic, or data to train external AI/ML models without the Company’s written permission.
Any breach of these restrictions may result in immediate termination (see Section 8) and legal action.
4. USER DATA & ZERO-RETENTION POLICY​

4.1 Ownership. You retain all right, title, and interest in the data you input into the Software (customers, estimates, CRM records, supplier data, material lists, etc.). You are the sole owner of your business intelligence.

4.2 Zero-Retention Architecture. To ensure maximum privacy and security, the Company operates under a Zero-Retention policy for AI-powered events.

Immediate Deletion: Raw property imagery and temporary project data used for AI-assisted calculations are processed in-memory and discarded immediately after the result is delivered to your local device.

No Model Training: The Company does not use your proprietary customer bids or project-specific data to train or improve our general AI models. Your "trade secrets" remain yours.

Minimal Metadata: We retain only the essential technical metadata (e.g., project timestamps, ZappBlock usage counts) required to manage your subscription and billing.

4.3 Data Integrity & Verification.

User Responsibility: You are solely responsible for the accuracy, legality, and completeness of all data provided.

Advisory Results: All AI-generated outputs (measurements, cost-ranges, and geospatial data) are probabilistic and advisory only. They are tools to assist, not replace, professional judgment.

Final Verification: The user must verify all AI-suggested measurements before finalizing a bid. The Company is not liable for financial discrepancies resulting from poor input imagery, environmental obstructions, or lack of human verification.

4.4 Local Storage & Access. ProfitZapp is a privacy-first platform. To protect your competitive advantage, we do not store your customer lists, pricing data, or estimates on our servers. * Local Custody: All sensitive business data is stored locally on your device or browser.

Backup Responsibility: The integrity, security, and backup of your local data are the sole responsibility of the user. ProfitZapp cannot "restore" lost estimates because we never possessed them.

Perpetual Access: You retain the right to access the ProfitZapp interface to view your local records at no additional cost, regardless of your current subscription status.

5. AI FEATURES
5.1 AI-Generated Output. The Software utilizes artificial intelligence to provide suggestions, calculations, job summaries, and property insights (collectively, “AI Output”)
5.2 Advisory Nature & Verification. You acknowledge that AI Output is probabilistic and may be subject to technical inaccuracies or hallucinatory errors..

Mandatory Human Review: In accordance with industry standards (e.g., NIST AI Risk Management Framework), AI Output is not a replacement for professional judgment. You must independently verify all AI-generated measurements, pricing, and material lists before relying on them for bids or contracts.

Liability Cap: StructuralIntel Inc. is not liable for any financial losses, bidding errors, or contractual disputes arising from unverified AI-driven recommendations.
5.3Fair Use & Computational Limits" Clause

> "1. Computational Fair Use: To maintain platform integrity and optimal processing speeds, all ZappPacks are subject to a Fair Use Computational Limit of 800,000 persistent tokens. This threshold is designed to exceed the requirements of standard professional use-cases.

> 2. Abuse Prevention: ProfitZapp reserves the right to monitor for 'Non-Human' behavioral patterns. Any account utilizing automated scripts, bots, or 'brute-force' API queries that exceed the Fair Use threshold may be subject to immediate throttling or temporary suspension to protect the Stateless Infrastructure from unauthorized load.

Spirit of the Rule Enforcement: The 24-hour sync lock is absolute. Any attempt to exploit perceived technical overlaps—such as rapidly changing account time zones, clearing browser caches to force a re-sync, or utilizing multiple sub-accounts to aggregate data—is strictly prohibited.

Zero-Tolerance for "Gamification": Users are forbidden from attempting to "beat" or "game" the Identity Fortress or gateway locks. Discovery of such behavior, regardless of whether it results in a successful data pull, constitutes a breach of the Acceptable Use Policy and will trigger an immediate account revocation.

No "Human Scripting": Manually repeating data-entry tasks in a pattern that mimics bot behavior to bypass the sync lock is also grounds for termination.

> 3. Overage & Reset: Upon reaching 90% of the Fair Use threshold, users will receive an automated notification. Computational limits reset with the purchase or renewal of a ZappPack, ensuring that professional utility is never permanently interrupted."
5.4 High-Precision & Third-Party Processing.

* High-Precision Data Streams: The Software utilizes high-precision 3D tiles and advanced geospatial data streams to provide detailed property measurements and edging visualizations.

Usage Restrictions: AI and geospatial providers process your inputs solely to generate the requested output. These providers are contractually prohibited from using your proprietary project data to train or improve their general models.

Zero-Retention Trigger: Per Section 4.2, all high-resolution imagery and data sent for high-precision processing are discarded immediately after delivery to your device.
5.5 Third-Party Processing & Privacy. * Data Minimization: We use Third Party Processors who are contractually prohibited from using your project data to train their general models.

Zero-Retention Integration: All sent for AI processing are discarded immediately after the result is generated in alignment with our Zero-Retention policy (Section 4.2)
​5.6 Proprietary PII Scrubbing & Tokenization. The Software utilizes a proprietary, patent-pending PII scrubbing engine that removes Personally Identifiable Information at the source without reliance on external libraries. All sensitive data is tokenized before processing, ensuring 100% privacy compliance and compatibility with third-party CRMs. This "Magic" layer ensures that project data remains private while maintaining full utility for business operations.

5.7 Limitation of Liability for Accidental PII Injection. > While the Software utilizes proprietary technology to scrub and tokenize Personally Identifiable Information (PII) at the source, the User acknowledges that no automated system is infallible.

User Warranty: You agree not to intentionally bypass security protocols or inject PII into non-designated fields (e.g., project notes or custom labels).

Safe Harbor: In the event of an accidental PII injection or a failure of the scrubbing engine to recognize a non-standard data format, StructuralIntel Inc. shall not be held liable for any resulting privacy breaches or regulatory fines.

Mandatory Reporting: You agree to immediately notify the Company at support@structuralintel.org if you discover un-scrubbed PII within the platform interface so that it may be manually purged.

5.8. The "Rule of the Oak" (Project Scope)
To protect the expert time and professional accuracy of the ProfitZapp platform, all projects follow these strict boundaries:

Revision Limits: Each ZappPac or Transaction Block includes up to three (3) consecutive revisions of the estimate plus 6 static high-res images with area draws by Oak per property per block. After three revisions and the user may receive up to 3 estimate edits per block-also allowed are 1 invoice delivery and 1 successful payment any further changes are at the sole discretion of the "Oak" (the AI) and may require a new Project Block fee.

Invoice Limits: You receive one (1) master invoice per project block. While it can be updated during the revision phase, it remains a single billing document for that project.
5.8.1. Upfront Billing Model

Instant Value: We bill for expertise, not just labor. A charge of $3.99 per Project Block is triggered immediately upon entering the platform. This fee covers professional-grade satellite accuracy, high-res imaging, and our proprietary PII-Scrubbed Tokenization—ensuring 100% privacy at the source without external libraries.

Stateless Edge Design: All inventory management, supplier direct ordering, and communications are processed via our stateless architecture, ensuring no sensitive business intelligence is stored on our servers.

Single Transaction: Each ZappPac or Transaction Block covers one (1) successful payment transaction processed through Stripe.

Split Payments: If a client requests to divide a payment into installments (e.g., a deposit and a final balance), each subsequent transaction is rebilled as a separate Project Block to cover administrative overhead.
5.8.2 Technical Failures & Manual Entry
In this industry, we adapt to the world as it occurs. If the technology faces obstacles (heavy tree cover or outdated satellite data), the following applies:

Manual Backup: If automated high-res imagery, GPS tracking, or real-time supplier data is unavailable due to site-specific obstacles (e.g., heavy tree cover or connectivity issues), users are encouraged to utilize manual entry modes.

Professional Continuity: Shifting to manual mode does not constitute a failure of the Software, as the "Oak" AI still provides professional-grade logic for the bid. ​
6. UPDATES, MODIFICATIONS & PRICING
6.1 The Company may, at any time and without prior notice, (a) release updates, patches, or new features; (b) modify, suspend, or discontinue any portion of the Software; or (c) change pricing tiers, provided that any price increase will be communicated to you at least thirty (30) days before it takes effect.
6.2 Continued use of the Software after an update or price change constitutes acceptance of the modified terms.
7. AVAILABILITY & SUPPORT
7.1 The Software is provided “as‑is” and “as‑available.” The Company does not guarantee uninterrupted service, error‑free operation, or compatibility with all devices, browsers, or operating systems.
7.2 Routine maintenance, emergency downtime, or updates may cause temporary interruptions. The Company will make reasonable efforts to provide advance notice where feasible.
8. TERMINATION
8.1 By the Company. The Company may terminate this Agreement and revoke your license immediately if you:

breach any provision of this Agreement;

fail to pay subscription fees or allow your subscription to lapse;
-
engage in fraudulent, abusive, or illegal activity; or
-
reverse‑engineer, redistribute, or otherwise misuse the Software.
8.2 By You. You may terminate at any time by (a) cancelling your subscription through the account portal, and (b) ceasing all use of the Software.
8.3 Effect of Termination. Upon termination:

Access to the Software is revoked instantly.
-
No refunds will be issued for any prepaid fees.
-
The Company may delete your data after thirty (30) days, unless retention is required by law.
-
All surviving provisions (e.g., Sections 2, 3, 4, 9‑13) remain in effect.
9. DISCLAIMER OF WARRANTIES
The Software is provided without warranties of any kind, either express or implied, including without limitation:

Merchantability

Fitness for a particular purpose

Non‑infringement

Accuracy, reliability, or completeness of estimates, AI output, or any data
You acknowledge that you use the Software at your own risk.
10. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, the Company shall not be liable for any:

Direct, indirect, incidental, special, consequential, or punitive damages;

Loss of profits, revenue, business opportunities, or goodwill;
-
Errors in estimates, pricing, AI output, or any data processed by the Software;
-
Downtime, data loss, or service interruptions;
-
Third-party inaccuracies (e.g., data from Stripe, Brevo, or external databases.
Aggregate liability for any claim arising out of or relating to this Agreement shall not exceed the total amount you paid to the Company in the twelve (12) months preceding the claim.
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of:

Your breach of this Agreement;

Your use of the Software in violation of any law;

Any claim that your data, content, or conduct infringes a third party’s rights.
12. GOVERNING LAW & DISPUTE RESOLUTION
12.1 Governing Law. This Agreement shall be governed by the substantive laws of the State of Minnesota, without regard to conflict‑of‑law principles.
12.2 Venue. Any action arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Minnesota, and you hereby consent to personal jurisdiction in such courts.

13. MISCELLANEOUS
Provision Summary
Entire Agreement This EULA, together with any referenced policies (e.g., Privacy Policy, Acceptable Use Policy), constitutes the entire agreement between you and the Company regarding the Software.
Amendments The Company may amend this Agreement by posting a revised version on its website. Continued use after posting constitutes acceptance of the changes.
Severability If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
Survival Sections 2, 3, 4, 5, 9‑13 survive termination.
Force Majeure Neither party shall be liable for failure to perform due to causes beyond reasonable control (e.g., natural disasters, pandemics, war, labor disputes, internet outages, third‑party service failures).
Export ControlsYou shall not export or re‑export the Software in violation of any applicable U.S. or international export laws or regulations.

1. DEFINITIONS

“Service”The web‑based landscaping estimating platform (including CRM, inventory, AI‑assisted tools, integrations, and any related services).
“User”, “You”, “Your”Any natural person or legal entity that registers for, accesses, or uses the Service.
“Content”All data, text, images, files, or other material submitted, uploaded, or generated by Users through the Service.
“Platform”The underlying software, APIs, and infrastructure owned and operated by StructuralIntel Inc.
“Agreement”These Terms of Service together with any referenced documents (e.g., Acceptable Use Policy, Support SLA, EULA).
2. ACCEPTANCE OF TERMS
By creating an account or otherwise accessing the Service, you affirmatively accept these Terms. If you do not agree, you must immediately cease use of the Service.
3. ELIGIBILITY & ACCOUNT RESPONSIBILITIES

4. SERVICE DESCRIPTION & ADVISORY NATURE

All outputs are non‑binding and subject to error; they must be independently verified before reliance.

StructuralIntel Inc. makes no warranties regarding the accuracy, completeness, or suitability of any estimate, calculation, or recommendation produced by the Service.

The Service is delivered through a combination of proprietary software and third-party platforms, including Wix (hosting, forms, checkout, and automation) and Brevo (email communications, CRM, and onboarding workflows).
5. USER‑OWNED RESPONSIBILITIES
5.1 Pricing & Business Decisions

You retain exclusive authority over all pricing, contract terms, and final bids presented to customers.
5.2 Data Accuracy

You must ensure that all input data (labor rates, material costs, equipment fees, overhead allocations, etc.) is correct. Errors in your data are your sole responsibility.
5.3 Legal & Regulatory Compliance

This software is for informational and estimating purposes only and does not constitute professional landscape architecture, engineering, or irrigation design services

Estimates generated do not account for structural engineering, load calculations, or safety standards. All design and engineering work must be performed by a licensed professional

The user assumes all responsibility for obtaining required permits and ensuring all work complies with local, state, and municipal regulations

You are responsible for complying with all applicable laws, licensing, tax obligations, OSHA standards, building codes, and any other governmental regulations.

Provider makes no guarantee of the accuracy or completeness of data inputs or resulting estimates. Prices are approximations based on user-provided data and current market averages
5.4 Site Evaluation & Safety

Physical site inspections, utility checks, soil assessments, and safety evaluations are your duties; the Service does not replace professional field assessments.
5.5 Customer Relations

All communications, negotiations, contracts, and dispute resolutions with customers are handled exclusively by you.
5.6 Crew Management

Hiring, training, scheduling, supervision, and safety oversight of your crew are entirely your responsibility.
5.7 Risk & Skill Tools

The risk‑assessment and skill‑adjustment modules are advisory only; you must validate any multiplier or rating before applying it to an estimate.

6. ACCEPTABLE USE POLICY (AUP)
Your use of the Service must comply with the incorporated Acceptable Use Policy. Prohibited conduct includes, but is not limited to:

Illegal, fraudulent, or harmful activities.

Attempted hacking, reverse‑engineering, scraping, or circumvention of security measures.

Uploading malicious code or automated bots.

Accessing or attempting to access another user’s data.

Abuse of support channels.

7.1 Usage-Based Fees & Estimating Credits

Standard Subscription: Access to the platform starts at the base monthly subscription rate. Base rate without promotion is $19.99 per month for solo users and per member on team accounts min members 5.

Pure Pay-As-You-Go Model: ProfitZapp does not offer a free estimating tier. Every project initiated on the platform requires the purchase of an ZappPac or Transaction Block.

Transaction Blocks: Accounts will be charged $3.99 for each new project block at the time of initiation.

High-Precision Geospatial Data: Each $3.99 block includes one (1) high-resolution imaging measurement, up to three (6) modifications per map and quote one (1) finalized invoice, and one (1) payment transaction for that specific project.

The "One-Charge" Guarantee: This fee is triggered only once per project; you are not charged separately for the invoice or transaction if they are part of the same project block.

Platform Transaction Fee: A 1.3% platform fee is applied to every successful transaction processed through the App, in addition to standard .

8. CREDITS & INCENTIVES

StructuralIntel may offer a discretionary usage-based reward program to certain customers. Participation in this program is optional and does not modify or replace standard subscription fees, transaction fees, or passthrough charges.

Solo Accounts: When a solo user completes 70 successful paid transactions (estimates, invoices, or payment events) in one billing cycle, the entire account subscription is reduced to $0.99 for the next month.

Team Accounts: When a team (up to 7 users) completes a combined 490 successful paid transactions in one billing cycle, the entire team subscription is reduced to $0.99 for the next month.
Definition of Transaction: For the purposes of this reward, a "transaction" includes any successfully processed estimate block, finalized invoice, or payment event.

9. INTELLECTUAL PROPERTY

10. DATA SECURITY & PRIVACY

10.1 Security Controls. StructuralIntel Inc. implements industry‑standard security controls to protect your account and data.

10.2 Zero-Retention Privacy. In addition to standard security, the Platform operates under a strict Zero-Retention policy for AI measurement events as detailed in Section 4.2 of the EULA. This ensures that your raw property imagery is processed in-memory and discarded immediately after use, minimizing data breach risks.

10.3 Content Ownership. You retain ownership of any Content you upload; however, you grant us a worldwide, royalty‑free license to store, process, and display such Content solely for providing the Service.

10.4 Consent Management. User consent preferences for cookies and tracking technologies are managed through Consentrix, which records and enforces choices in accordance with applicable privacy regulations.

10.5 Ownership. You retain all right, title, and interest in the data you input into the Software (customers, estimates, CRM records, supplier data, material lists, etc.). You are the sole owner of your business intelligence.

10.6 Zero-Retention Architecture. To ensure maximum privacy and security, the Company operates under a Zero-Retention policy for AI-powered events.

10.7 Immediate Deletion: Raw property imagery and temporary project data used for AI-assisted calculations are processed in-memory and discarded immediately after the result is delivered to your local device.

10.8 No Model Training: The Company does not use your proprietary customer bids or project-specific data to train or improve our general AI models. Your "trade secrets" remain yours.

10.9 Minimal Metadata: We retain only the essential technical metadata (e.g., project timestamps, ZappFile, ZappBlock usage counts) required to manage your subscription and billing.

10.11 User Responsibility: You are solely responsible for the accuracy, legality, and completeness of all data provided.

10.12 Advisory Results: All AI-generated outputs (measurements, cost-ranges, and geospatial data) are probabilistic and advisory only. They are tools to assist, not replace, professional judgment.

10.12 Final Verification: The user must verify all AI-suggested measurements before finalizing a bid. The Company is not liable for financial discrepancies resulting from poor input imagery, environmental obstructions, or lack of human verification.

10.13 Local Storage & Access. ProfitZapp is a privacy-first platform. To protect your competitive advantage, we do not store your customer lists, pricing data, or estimates on our servers. * Local Custody: All sensitive business data is stored locally on your device or browser.

10.14 Backup Responsibility: The integrity, security, and backup of your local data are the sole responsibility of the user. ProfitZapp cannot "restore" lost estimates because we never possessed them.

10.15 Perpetual Access: You retain the right to access the ProfitZapp interface to view your local records at no additional cost, regardless of your current subscription status.
X. ZAPPLINK™ SERVICE ARCHITECTURE & SUPPLY CHAIN RELAY
X.1 Service Description. ZappLink is a supply chain relay and peer-to-peer data conduit designed to facilitate real-time materials procurement and crew logistics. It operates through three distinct functional phases:

Mandatory On-Site Verification: You acknowledge that GPS coordinates and "Precision-Drop Pins" may be subject to significant margins of error due to environmental interference or satellite variance. A qualified representative of the User must be physically present on-site to verify and confirm the exact drop-off location with the delivery driver at the time of arrival.

Third-Party Delivery Errors: StructuralIntel.org Inc. is not responsible for materials being dropped at incorrect locations, property damage, or lost materials resulting from reliance on GPS data without human on-site supervision.

Precision-Drop GPS: While ZappLink provides high-precision Latitude/Longitude "Drop Pins," these are advisory tools only. The Company is not responsible for delivery errors, material quality, or wholesaler performance.

Friction-Based Safety: Every material order initiated through ZappLink requires a "3-credit" transaction to ensure human verification before action. Users are responsible for verifying all order details before finalizing.

10.Y.1 API Cost Firewall: The relay is a zero-cost infrastructure for StructuralIntel.org Inc.. If a vendor attempts to charge an API fee or initiate a billing callback, that link will be terminated without notice.

Anti-Hammering Logic: Our proprietary logic proactively identifies and terminates sessions that attempt to bypass the daily sync limit. We do not allow "commodity-style" tracking; any account attempting more than one (1) successful catalog update per 24-hour period will trigger an automatic security lock.

Vendor Request Firewall: The system will permanently lock the connection to any of your 4 approved vendors if that vendor attempts to ping our server for data or charges an unauthorized API fee.

Gateway Rejection Logic: The ProfitZapp API gateway is hard-coded with a "Deny-All" instruction for any catalog update requests outside of the single 0200 UTC automated sync. Any incoming ping attempting to force a refresh will be automatically rejected by the gateway to maintain stateless integrity.

Non-Commodity Constraint: Because the platform is not designed for commodity-style trading, the gateway is locked to one (1) successful vendor update per 24-hour period. We do not support live-streaming pricing.

Download & Usage Caps: Material list exports and API data retrieval for project blocks are capped at five (5) events per day. This prevents automated scraping and ensures the platform remains a tool for landscaping professionals, not data aggregators.
Local Inventory Management: The Software provides a local ledger for tracking material procurement and consumption. Users acknowledge that all "in-stock" data is stored exclusively on their local device. ProfitZapp does not sync or backup local inventory levels to its servers, and the User is solely responsible for the accuracy of their local stock records.

Optional Inventory Ledger: The Software includes a local "Stockroom" feature that subtracts materials from a User's self-maintained local ledger upon project finalization. This feature is strictly optional. If no local stock record is initiated by the User, the system defaults to a "Buy-to-Order" model and will not track or display inventory levels.

Local Inventory Ledger: Users may optionally maintain a local "Stockroom" on their device. This data is held in Local Custody; ProfitZapp does not store, backup, or "restore" these records as part of our Zero-Retention architecture.
Marketing & Lead-Gen Separation
"10.Z Marketing Entity Isolation: The User acknowledges that all promotional, CRM, and drip-marketing campaigns are managed by an independent marketing affiliate.
Data Siloing: Raw PII (names, emails) used for marketing outreach is held exclusively within the marketing entity’s database and is never transmitted to or stored by the ProfitZapp technical platform.
Per-Unit Tokenization: ProfitZapp provides technical services to the marketing affiliate on a per-unit basis. The platform only receives anonymized tokens to facilitate user sessions and does not have access to the affiliate's master lead lists.
INTER-COMPANY SERVICE & DATA ISOLATION AGREEMENT

1. PURPOSE & SEPARATION OF DUTIES
The parties agree to a strict separation of operational duties to maintain the Technical Provider’s "We Don't Store Data" architecture.
Marketing Affiliate: Responsible for all lead generation, purchased list management, and CRM maintenance via Brevo.
Technical Provider: Acts solely as a stateless technical conduit for AI-assisted estimating and Supply Chain Relays.
2. DATA SILOING & TOKENIZATION
To protect the Identity Fortress, no raw Personally Identifiable Information (PII) shall be shared between entities.
Zero PII Transmission: Marketing Affiliate shall not transmit raw email lists, names, or socials to the Technical Provider.
Tokenized Requests: All service requests from the Marketing Affiliate to the Technical Provider must be initiated via an anonymized session token.
Independent Scrubbing: Technical Provider shall utilize its proprietary scrubbing engine to ensure any data inadvertently transmitted is neutralized at the source.
3. PER-UNIT BILLING STRUCTURE
Marketing Affiliate shall "buy" service access from the Technical Provider on a per-unit basis to maintain a clean valuation.
Service Fee: Marketing Affiliate agrees to pay $3.99 per Project Block initiated through its marketing funnel.
Trigger: Billing is triggered immediately upon a lead's conversion into an active platform session.
Volume Throttling: Technical Provider reserves the right to throttle marketing-driven traffic to ensure platform stability for its 1,000+ direct users.
4. LEGAL INDEMNIFICATION
CAN-SPAM Compliance: Marketing Affiliate assumes 100% legal liability for email campaign compliance and opt-in verification.
Technical Safe Harbor: Technical Provider is indemnified against any privacy breaches originating from the Marketing Affiliate’s external CRM.
"10.Z Affiliate Isolation: Promotional outreach is managed by an independent marketing affiliate. Our technical platform interacts with this affiliate only through anonymized tokens. We do not have access to, nor do we store, the affiliate’s master lead lists."
11. LIMITATION OF LIABILITY & DISCLAIMER

No Warranty – The Service is provided “as is” and “as available.” We expressly disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.

Maximum Liability – To the fullest extent permitted by law, StructuralIntel.org Inc.’s total aggregate liability for any claim arising out of or relating to this Agreement shall not exceed the amount you have paid to us in subscription fees in the twelve (12) months preceding the claim.

Exclusion of Damages – We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless StructuralIntel Inc., its affiliates, officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of:

13. AUDIT & COMPLIANCE RIGHTS
StructuralIntel Inc. reserves the right, upon reasonable notice, to audit your use of the Service to verify compliance with the AUP, licensing limits, and any applicable regulatory requirements. Non‑compliance may result in suspension, termination, and/or monetary penalties.
14. DISPUTE RESOLUTION

Informal Resolution – You must first contact support@structuralintel.org and attempt to resolve the dispute in good faith for at least thirty (30) days.

Binding Arbitration – All remaining disputes (except for claims eligible for small‑claims court or injunctive relief concerning intellectual property) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) or JAMS, at our election, in Minnesota, conducted in English.

Class‑Action Waiver – Both parties waive the right to bring or participate in any class, collective, or representative action.

Jury Trial Waiver – You waive any right to a jury trial.

Severability of Arbitration Clause – If any portion of the arbitration provision is deemed unenforceable, the entire arbitration section becomes null and void, and the dispute will be litigated in the courts of Minnesota.
15. FORCE MAJEURE
StructuralIntel Inc. shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, wars, terrorism, labor disputes, government actions, power or internet outages, and third‑party service failures (e.g., Stripe, AI providers, cloud infrastructure).
16. ASSIGNMENT

You may not assign or transfer these Terms or your account without our prior written consent.

We may assign or transfer the Agreement, in whole or in part, at any time (e.g., in connection with a merger, acquisition, or corporate reorganization).
17. GOVERNING LAW & VENUE
These Terms are governed by the laws of the State of Minnesota, without regard to conflict‑of‑law principles. Any court action not covered by arbitration must be filed exclusively in the state or federal courts located in Minnesota, and you hereby consent to personal jurisdiction therein.
18. TERMINATION
We may terminate or suspend your account immediately, without notice or refund, for:

Breach of these Terms or the AUP.

Non‑payment, chargebacks, or fraud.

Abuse, misuse, or illegal activity.
Upon termination, all access to the Service ceases, and any stored data may be deleted in accordance with our data‑retention policy.
19. MODIFICATIONS TO TERMS
We may amend these Terms at any time by posting a revised version on our website. Continued use of the Service after such posting constitutes your acceptance of the updated Terms.
