MASTER TERMS OF SERVICE

Governing StructuralIntel.org Inc. and The Sovereign Shield Platforms

Last Updated: April 6, 2026

1. Introduction and Scope

Welcome to StructuralIntel.org Inc. (“Company,” “we,” “our,” or “us”). These Master Terms of Service (“Master Terms”) govern your access to and use of:

  • The StructuralIntel.org website and all associated web properties

  • The Sovereign Shield Platforms — a suite of sovereign, privacy-native technology platforms developed and operated by StructuralIntel.org Inc.

  • Any membership, subscription, or service features associated with the foregoing

  • Any related digital or offline services (collectively, the “Services”)

These Master Terms establish the foundational legal framework governing all Services. Each Sovereign Shield Platform is additionally governed by its own platform-specific Terms of Service, which incorporate these Master Terms by reference. In the event of conflict between these Master Terms and any platform-specific terms, the platform-specific terms shall control with respect to that platform only.

By accessing or using any Service, you agree to be bound by these Master Terms in their entirety. If you do not agree, do not use the Services. Partial agreement or conditional acceptance is not permitted.

2. Guiding Principles — B Charter and Ethical Foundation

StructuralIntel.org Inc. is not built to extract value from people. It is built to protect them and return value to the communities it serves.

The principles of the B Corporation charter guide every decision, every platform, every client relationship, and every investor engagement. StructuralIntel.org Inc. is committed to transitioning to full Public Benefit Corporation (B-Charter) status, with a charter mandate allocating 20–30% of net profits to charitable purposes — including food security, shelter, mental health support, and addiction recovery — upon reaching designated revenue thresholds. The Company is currently governed by the fiduciary duties of a Minnesota S-Corporation; the transition to Public Benefit status is a strategic objective and shall be formalized via amended Articles of Incorporation upon reaching the revenue thresholds defined in the B-Charter.

These principles are not aspirational statements. They are operational commitments encoded into the architecture of every platform, every policy, and every terms document the Company produces. They inform how we build, how we price, how we engage, and how we resolve disputes.

2.1 Consent

Use of the Services is voluntary. No Service is designed to create dependency, manipulate users, or exploit asymmetric power. You may discontinue use at any time in accordance with the applicable platform terms. We do not design systems that work against the people who use them.

2.2 Respect

We commit to transparent, honest, and respectful engagement in all business interactions — with users, clients, investors, partners, and communities. Respect in this organization is not performative. It is operational. It shows up in how we write our terms, how we enforce our policies, and how we handle disputes. Every clause in every document we produce is written to be fair to both parties.

2.3 Privacy as Architecture

Privacy is not promised by StructuralIntel.org Inc. It is engineered. The Sovereign Shield Platforms are built on a Near Zero-Data Architecture in which personal identifiers are permanently destroyed at the point of ingestion before they enter any system. Privacy compliance is a structural consequence of how the platforms are built, not a policy applied after the fact.

2.4 Transparency

We do not hide material terms in fine print. We do not use deceptive design patterns. We do not bury liability limitations in language designed to confuse. These terms are written to be read and understood by the people who sign them. If something is important, we say it plainly.

2.5 No Exploitative Leverage

We do not design systems, contracts, or business relationships intended to trap, exploit, or take unfair advantage of users, clients, or partners. Where our terms are strict — and some are — the strictness exists to protect the integrity of the work, the security of the platform, and the fairness of the relationship. Not to extract money from people who trusted us.

These principles guide us. They are not merely aspirational — they are the reason this company exists. Anyone engaging with StructuralIntel.org Inc. — as a user, client, investor, or partner — is engaging with an organization that means what it says and builds what it promises.

6. Scope of Service — Redaction Service Provider

StructuralIntel.org Inc. operates exclusively as a data redaction service provider. The Platform's responsibility and liability are strictly limited to the performance of redaction functions within the defined ingestion boundary established at client onboarding.

StructuralIntel.org Inc. is not the data controller, data custodian, or system architect of the client's broader data environment. The client retains full responsibility for data governance, system configuration, and access controls outside the Platform's sovereign boundary.

StructuralIntel.org Inc. does not warrant or guarantee any specific outcome. The Sovereign Shield Platform is architecturally designed to redact all PII within its defined ingestion boundary. Independent production testing has demonstrated a 100% redaction result across 500,000 records processed under controlled conditions. This result reflects system performance within a defined sovereign boundary and does not constitute a warranty or guarantee of any specific outcome in any client deployment. StructuralIntel.org Inc. expressly disclaims liability for PII exposure resulting from external vectors outside the Platform's documented sovereign boundary, including but not limited to user-initiated API connections, third-party integrations, email-borne data ingestion paths, or system configurations introduced by the client outside the Platform's architecture.

Enterprise clients or those in specific jurisdictions, a separate DPA may be required to supplement these terms

We are not responsible for the content or privacy practices of third-party sites linked from your properties.

7. Intellectual Property

7.1 Ownership

All intellectual property associated with StructuralIntel.org Inc. and the Sovereign Shield Platforms — including but not limited to the Sovereign Shield Unitized Data Engine, the PII Redaction Engine V2.0, the Token Rotary Platform, the Sovereign Flow CRM, the 6-Token DNA Architecture, Informatic Mass Theory, Geometric Immutability, the Sovereign Storage Architecture, the Deterministic Token Delivery Model, and all other platform technologies, frameworks, methodologies, trade secrets, software, designs, branding, and documentation — is the exclusive intellectual property of Fred Laurenzo and StructuralIntel.org Inc.

Patent applications are pending. Trade secret protections apply. All rights are reserved. Unauthorized reproduction, disclosure, adaptation, reverse-engineering, or use of any portion of the Company’s intellectual property is strictly prohibited.

Any suggestions or feedback provided by users are "gratuitous, unsolicited, and without restriction," and that StructuralIntel.org Inc. is free to use those ideas without any compensation or credit to the user.

7.2 Patent Pending Protection

The technologies underlying the Sovereign Shield Platforms are the subject of pending patent applications filed with the United States Patent and Trademark Office. The filing of these applications establishes a priority date that predates any subsequent filing by any third party. Any attempt to replicate, implement, or commercialize the described technologies without authorization from StructuralIntel.org Inc. constitutes patent infringement and will be pursued to the fullest extent of the law.

7.3 Trade Secret Protection

Significant portions of the Sovereign Shield Platform architecture — including but not limited to the specific token structure, authorization chain, implementation algorithms, and sovereign storage configuration — constitute trade secrets of StructuralIntel.org Inc. protected under the Defend Trade Secrets Act (DTSA) and applicable state law. Misappropriation of these trade secrets will be pursued civilly and criminally.

7.4 Trademark

“StructuralIntel,” “Sovereign Shield,” “Sovereign Gland,” “Sovereign Flow,” “6-Token DNA,” “Geometric Immutability,” “Informatic Mass,” and all associated logos, marks, and platform names are trademarks of StructuralIntel.org Inc. and/or Fred Laurenzo. Unauthorized use of these marks is strictly prohibited and may result in legal action.

7.5 IP Enforcement

Violation of these intellectual property provisions — including but not limited to unauthorized use of trademarks, reverse-engineering, trade secret misappropriation, or patent infringement — will result in:

  • Immediate termination of access to all Services

  • Civil liability including but not limited to injunctive relief, statutory damages, and attorney’s fees

  • A base civil fine of $1000.00 USD per day accruing from the date of first violation as determined by StructuralIntel.org Inc. Activation of this fine requires that the burden of proof threshold of a Grand Jury indictment standard has been met — meaning probable cause exists that a violation has occurred, as established by documentation, evidence, or formal legal proceeding. This threshold protects against frivolous claims while ensuring the enforcement mechanism cannot be challenged as an arbitrary penalty clause The parties agree that actual damages for misappropriation are difficult to ascertain, and that the daily fine represents a fair and reasonable liquidated estimate of the harm to the Company's competitive position and intellectual capital, and is not intended as a penalty.

  • Criminal prosecution pursued under Minn. Stat. § 609.52 (theft including trade secret theft — felony, up to 10 years imprisonment and $20,000 fine), Minn. Stat. § 609.89 (computer or electronic data theft), Minn. Stat. § 609.891 (unauthorized computer access), and Minn. Stat. § 609.895 (counterfeited intellectual property penalties), in addition to all available federal remedies including the Defend Trade Secrets Act (DTSA), 18 U.S.C. § 1836, and applicable patent and trademark statutes

This enforcement clause operates independently of any arbitration agreement. Disputes involving intellectual property, trademarks, patents, trade secrets, or licensing are expressly excluded from binding arbitration and shall be resolved through courts of competent jurisdiction. Users waive any right to binding arbitration for IP-related claims.

7.6 Limited License to Users

Subject to these Master Terms, StructuralIntel.org Inc. grants users a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. This license does not permit resale, commercial exploitation, modification, creation of derivative works, reverse-engineering, or use of branding elements without prior written consent. All rights not expressly granted are reserved.

8. Privacy

StructuralIntel.org Inc. operates two distinct privacy environments, each governed by a separate privacy policy:

The Sovereign Shield Platforms: Operate under a Near Zero-Data Architecture in which PII is permanently destroyed at the point of ingestion before it enters any system. Each platform is governed by its own platform-specific Privacy by Design Policy. The architectural elimination of PII storage means these platforms are structurally incapable of conventional data breach by design.

The StructuralIntel.org Website: Operates under a user-controlled consent model supported by the Usercentrics Consent Management Platform. Users control what data is shared. The website privacy policy governs this environment separately.

StructuralIntel.org Inc. does not sell, trade, or monetize user data in any form. Full privacy policies for each environment are published separately and incorporated herein by reference.
