This is a commercial site Terms of Use Policy for this website. Our Privacy by Design app, Sovereign Shield has its own privacy policy, while this site provides information, updates, and support. STRUCTURALINTEL.ORG INC. MASTER TERMS OF SERVICE Governing StructuralIntel.org Inc. and The Sovereign Shield Platforms Last Updated: April 15, 2026 1. Introduction and Scope Welcome to StructuralIntel.org Inc. (“Company,” “we,” “our,” or “us”). These Master Terms of Service (“Master Terms”) govern your access to and use of: The StructuralIntel.org website and all associated web properties The Sovereign Shield Platforms — a suite of sovereign, privacy-native technology platforms developed and operated by StructuralIntel.org Inc. Any membership, subscription, or service features associated with the foregoing Any related digital or offline services (collectively, the “Services”) These Master Terms establish the foundational legal framework governing all Services. Each Sovereign Shield Platform is additionally governed by its own platform-specific Terms of Service, which incorporate these Master Terms by reference. In the event of conflict between these Master Terms and any platform-specific terms, the platform-specific terms shall control with respect to that platform only. By accessing or using any Service, you agree to be bound by these Master Terms in their entirety. If you do not agree, do not use the Services. Partial agreement or conditional acceptance is not permitted. 2. Guiding Principles — B Charter and Ethical Foundation StructuralIntel.org Inc. is not built to extract value from people. It is built to protect them and return value to the communities it serves. The principles of the B Corporation charter guide every decision, every platform, every client relationship, and every investor engagement. StructuralIntel.org Inc. is committed to transitioning to full Public Benefit Corporation (B-Charter) status, with a charter mandate allocating 20–30% of net profits to charitable purposes — including food security, shelter, mental health support, and addiction recovery — upon reaching designated revenue thresholds. The Company is currently governed by the fiduciary duties of a Minnesota S-Corporation; the transition to Public Benefit status is a strategic objective and shall be formalized via amended Articles of Incorporation upon reaching the revenue thresholds defined in the B-Charter. These principles are not aspirational statements. They are operational commitments encoded into the architecture of every platform, every policy, and every terms document the Company produces. They inform how we build, how we price, how we engage, and how we resolve disputes. 2.1 Consent Use of the Services is voluntary. No Service is designed to create dependency, manipulate users, or exploit asymmetric power. You may discontinue use at any time in accordance with the applicable platform terms. We do not design systems that work against the people who use them. 2.2 Respect We commit to transparent, honest, and respectful engagement in all business interactions — with users, clients, investors, partners, and communities. Respect in this organization is not performative. It is operational. It shows up in how we write our terms, how we enforce our policies, and how we handle disputes. Every clause in every document we produce is written to be fair to both parties. 2.3 Privacy as Architecture Privacy is not promised by StructuralIntel.org Inc. It is engineered. The Sovereign Shield Platforms are built on a Near Zero-Data Architecture in which personal identifiers are permanently destroyed at the point of ingestion before they enter any system. Privacy compliance is a structural consequence of how the platforms are built, not a policy applied after the fact. 2.4 Transparency We do not hide material terms in fine print. We do not use deceptive design patterns. We do not bury liability limitations in language designed to confuse. These terms are written to be read and understood by the people who sign them. If something is important, we say it plainly. 2.5 No Exploitative Leverage We do not design systems, contracts, or business relationships intended to trap, exploit, or take unfair advantage of users, clients, or partners. Where our terms are strict — and some are — the strictness exists to protect the integrity of the work, the security of the platform, and the fairness of the relationship. Not to extract money from people who trusted us. These principles guide us. They are not merely aspirational — they are the reason this company exists. Anyone engaging with StructuralIntel.org Inc. — as a user, client, investor, or partner — is engaging with an organization that means what it says and builds what it promises. 3. Scope of Service — Redaction Service Provider StructuralIntel.org Inc. operates exclusively as a data redaction service provider. The Platform's responsibility and liability are strictly limited to the performance of redaction functions within the defined ingestion boundary established at client onboarding. StructuralIntel.org Inc. is not the data controller, data custodian, or system architect of the client's broader data environment. The client retains full responsibility for data governance, system configuration, and access controls outside the Platform's sovereign boundary. Structuralintel.org Inc provides the deterministic scrubbing logic, but the final 'Human-in-the-Loop' review of all generated output remains the sole responsibility of the Licensee. Under no circumstances shall Structuralintel.org Inc be liable for residual PII found in third-party library datasets." StructuralIntel.org Inc. does not warrant or guarantee any specific outcome. The Sovereign Shield Platform is architecturally designed to redact all PII within its defined ingestion boundary. Independent production testing has demonstrated a 100% redaction result across 1,500,000 records processed under controlled conditions. This result reflects system performance within a defined sovereign boundary and does not constitute a warranty or guarantee of any specific outcome in any client deployment. StructuralIntel.org Inc. expressly disclaims liability for PII exposure resulting from external vectors outside the Platform's documented sovereign boundary, including but not limited to user-initiated API connections, third-party integrations, email-borne data ingestion paths, or system configurations introduced by the client outside the Platform's architecture. Enterprise clients or those in specific jurisdictions, a separate DPA may be required to supplement these terms We are not responsible for the content or privacy practices of third-party sites linked from your properties. Section 6.1 — Nature of the Sovereign Guarantee & External Sales 1 Not a Binding Contract: The "Sovereign Guarantee" published on this website is for informational and marketing purposes only. It does not constitute a binding legal contract, warranty, or offer between Structuralintel.org Inc. and any website visitor. 2 Master Service Agreement Required: The commitments described in the Sovereign Guarantee only become active and binding upon the mutual execution of a formal Master Service Agreement (MSA) and a signed Client Acknowledgment (Part III of the Guarantee). .3 Variation of Terms: Terms of the Sovereign Guarantee, including pricing, performance benchmarks, and liability limits, are subject to change depending on the specific vendor, hardware configuration, and the Client’s existing software stack. .4 Service Classification: All users acknowledge that Structuralintel.org Inc. is a Redaction and Data Minimization Service. Use of this website or our software does not establish a "Cybersecurity Provider" relationship. Our liability is strictly limited to the redaction logic as defined in an executed MSA. 7. Intellectual Property 7.1 Ownership All intellectual property associated with StructuralIntel.org Inc. and the Sovereign Shield Platforms — including but not limited to the Sovereign Shield Unitized Data Engine, the PII Redaction Engine V2.0, the Token Rotary Platform, the Sovereign Flow CRM, the 6-Token DNA Architecture, Informatic Mass Theory, Geometric Immutability, the Sovereign Storage Architecture, the Deterministic Token Delivery Model, and all other platform technologies, frameworks, methodologies, trade secrets, software, designs, branding, and documentation — is the exclusive intellectual property of Fred Laurenzo and StructuralIntel.org Inc. Patent applications are pending. Trade secret protections apply. All rights are reserved. Unauthorized reproduction, disclosure, adaptation, reverse-engineering, or use of any portion of the Company’s intellectual property is strictly prohibited. Any suggestions or feedback provided by users are "gratuitous, unsolicited, and without restriction," and that StructuralIntel.org Inc. is free to use those ideas without any compensation or credit to the user. 7.2 Patent Pending Protection The technologies underlying the Sovereign Shield Platforms are the subject of pending patent applications filed with the United States Patent and Trademark Office. The filing of these applications establishes a priority date that predates any subsequent filing by any third party. Any attempt to replicate, implement, or commercialize the described technologies without authorization from StructuralIntel.org Inc. constitutes patent infringement and will be pursued to the fullest extent of the law. 7.3 Trade Secret Protection Significant portions of the Sovereign Shield Platform architecture — including but not limited to the specific token structure, authorization chain, implementation algorithms, and sovereign storage configuration — constitute trade secrets of StructuralIntel.org Inc. protected under the Defend Trade Secrets Act (DTSA) and applicable state law. Misappropriation of these trade secrets will be pursued civilly and criminally. 7.4 Trademark “StructuralIntel,” “Sovereign Shield,” “Sovereign Gland,” “Sovereign Flow,” “6-Token DNA,” “Geometric Immutability,” “Informatic Mass,” and all associated logos, marks, and platform names are trademarks of StructuralIntel.org Inc. and/or Fred Laurenzo. Unauthorized use of these marks is strictly prohibited and may result in legal action. 7.5 IP Enforcement Violation of these intellectual property provisions — including but not limited to unauthorized use of trademarks, reverse-engineering, trade secret misappropriation, or patent infringement — will result in: Immediate termination of access to all Services Civil liability including but not limited to injunctive relief, statutory damages, and attorney’s fees A base civil fine of $1000.00 USD per day accruing from the date of first violation as determined by StructuralIntel.org Inc. Activation of this fine requires that the burden of proof threshold of a Grand Jury indictment standard has been met — meaning probable cause exists that a violation has occurred, as established by documentation, evidence, or formal legal proceeding. This threshold protects against frivolous claims while ensuring the enforcement mechanism cannot be challenged as an arbitrary penalty clause The parties agree that actual damages for misappropriation are difficult to ascertain, and that the daily fine represents a fair and reasonable liquidated estimate of the harm to the Company's competitive position and intellectual capital, and is not intended as a penalty. Criminal prosecution pursued under Minn. Stat. § 609.52 (theft including trade secret theft — felony, up to 10 years imprisonment and $20,000 fine), Minn. Stat. § 609.89 (computer or electronic data theft), Minn. Stat. § 609.891 (unauthorized computer access), and Minn. Stat. § 609.895 (counterfeited intellectual property penalties), in addition to all available federal remedies including the Defend Trade Secrets Act (DTSA), 18 U.S.C. § 1836, and applicable patent and trademark statutes This enforcement clause operates independently of any arbitration agreement. Disputes involving intellectual property, trademarks, patents, trade secrets, or licensing are expressly excluded from binding arbitration and shall be resolved through courts of competent jurisdiction. Users waive any right to binding arbitration for IP-related claims. 7.6 Limited License to Users Subject to these Master Terms, StructuralIntel.org Inc. grants users a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. This license does not permit resale, commercial exploitation, modification, creation of derivative works, reverse-engineering, or use of branding elements without prior written consent. All rights not expressly granted are reserved. 8. Privacy StructuralIntel.org Inc. operates two distinct privacy environments, each governed by a separate privacy policy: The Sovereign Shield Platforms: Operate under a Near Zero-Data Architecture in which PII is permanently destroyed at the point of ingestion before it enters any system. Each platform is governed by its own platform-specific Privacy by Design Policy. The architectural elimination of PII storage means these platforms are structurally incapable of conventional data breach by design. The StructuralIntel.org Website: Operates under a user-controlled consent model supported by the Usercentrics Consent Management Platform. Users control what data is shared. The website privacy policy governs this environment separately. StructuralIntel.org Inc. does not sell, trade, or monetize user data in any form. Founder Bio About the Founder Fred Laurenzo — Founder & CEO, StructuralIntel.org Fred Laurenzo is not a typical tech founder. He didn’t come from Silicon Valley, and he’s not the product of an accelerator, a trust fund, or a venture-capital grooming pipeline. He’s something rarer and more honest: a stubborn, principled builder who saw ordinary people being harmed by data misuse and decided to do something about it — directly, personally, and without asking permission. Fred spent over two decades as a Social Studies educator, earning Teacher of the Year by doing what he does best: telling the truth, challenging assumptions, and helping people understand the systems that shape their lives. He taught about power, rights, privacy, history, and how societies function — and he watched firsthand how quickly technology was eroding the very civic protections he taught. He wasn’t a “tech teacher,” but he saw where technology was heading. He saw who was being hurt first. And he refused to look away. So he built StructuralIntel.org the hard way — from hotel rooms, temporary living spaces, and 16-hour days spent writing, coding, researching, and assembling a privacy-first platform from the ground up. No investors. No PR team. No safety net. Just grit, conviction, and a refusal to let Big Data decide what privacy means for the rest of us. Fred is completely transparent about who he is and how he works. He’ll tell you himself: “I’m not polished. I work in sweats most days. I get scruffy. I don’t look like a tech founder. But I’m building something that matters.” Behind that unfiltered honesty is a founder with iron discipline, deep knowledge of civic systems, an educator’s understanding of human impact, and a moral code that technology desperately needs but rarely gets. StructuralIntel.org reflects that code in every decision: Privacy by Design at the data layer Zero-data relay architecture No collection of information that can be weaponized No tracking, profiling, or manipulation A mission-driven path toward Public Benefit (B-Charter) status Fred is now working with clinics, civic programs, and community partners in Rochester to build a replicable model for ethical data use — one grounded in dignity, not extraction. Ask him why he puts in 16-hour days, why he works through setbacks, or why he keeps going even when underestimated, and he’ll answer the same way every time: “Privacy is dignity. And everyone deserves dignity.” This is Fred Laurenzo — unfiltered, unpolished, and uncompromising. A founder who didn’t come from tech… but is rebuilding it anyway. • About | Structuralintel.org

We are developing a new system of handling data that does two things the industry has never done together: protect privacy and reduce data at the same time. The intellectual property is ours. The patents are in process. The mission is real About Page Structuralintel.org Inc. — Wix About Page Copy About Structuralintel.org Inc Some companies are built to make money. Some are built to make a difference. We are building both — because we believe you should never have to choose between the two. Structurally Intelligent was born from a simple but radical idea: what if a company actually meant what it promised? Not in a policy PDF buried in a footer. Not in terms and conditions written to protect the company instead of the customer. But in the code itself — built in, enforced automatically, non-negotiable. That idea became our architecture. Privacy isn't a feature we added. It is the foundation we built on. What We Are Building We are developing a new system of handling data that does two things the industry has never done together: protect privacy and reduce data at the same time. The intellectual property is ours. The patents are in process. The mission is real. We are also building Private AI — personal, PII-free, and available for home or business use. AI that doesn't harvest you. AI that doesn't surveil you. AI you actually own. You buy it, you own it. Full stop. This isn't a promise. It is an architecture. Why Rochester Kodak captured the world's memories. Xerox taught the world to share information. Rochester has always been a city that builds things that matter — and we are not done yet. Structurally Intelligent is proud to be part of Rochester's next chapter. We believe this city has the talent, the grit, and the history to lead the world into a future where your data belongs to you — not to the platforms, not to the algorithms, not to anyone who didn't earn it. We are not waiting for Silicon Valley's permission. Where We Are Now We are a small (for now) S Corp transitioning toward Public Benefit status. We are early, we are growing, and we are looking for people who believe what we believe — that privacy is not a luxury, and that the next great technology company doesn't have to be built at your expense. This is Rochester's moment. This is your movement. Come build it with us. Fred Laurenzo CEO, Structuralintel.org Inc. BOOKING CALENDAR INFORMATION

Volume 1 | Issue 1 | April 2026 From the Desk of Fred Laurenzo I am going to be straight with you — because that is the only way I know how to operate. We are at the most critical moment in this company's young life. We have the technology. We have the IP. We have the structure. What we need right now is fuel. And I am not too proud to say it. Where We Are — Company Update We have done the hard part. Structuralintel.org Inc. is incorporated, structured, and moving. We have our intellectual property secured, our corporate framework in place, our materials developed, and our MVPs and prototypes built for most of the platform. We are currently pursuing SMIF financing for our initial funding round — because industry-changing technology needs the right partners behind it. We are not an idea on a napkin. We are a company on the launchpad. THIS MONTH'S MILESTONE We are actively pursuing our patent filings — the entire platform is in motion as of tonight. This is real. This is happening. The Build — Product Development Update Right now we are building something we believe is the milestone of the decade — and we do not use that phrase lightly. Meet the Unitized Data Sanitizer — the breakthrough technology that makes Private AI possible. This is not an incremental improvement on what exists. This is a new architecture for how data is handled, protected and reduced at the source. Our data is real, certifiable and repeatable. That is not a marketing claim — that is a technical fact we can demonstrate. CURRENTLY WORKING ON Deployment architecture for the Unitized Data Sanitizer World class research integration for Private AI development COMING NEXT The next phase of Private AI development — and we will tell you exactly how it works. Why It Matters — Privacy Spotlight Every week another breach. Every month another apology from a company that never meant its privacy policy in the first place. The world is not short on promises about data protection. It is short on companies that have actually solved it at the architecture level. That is what we are building. That is why this matters right now. Rochester Proud Rochester has led the world before. Kodak. Xerox. Paychex. The talent, the grit and the drive to build things that matter have always been here. We are asking Rochester to lead again — this time into a future where your data belongs to you. We are proud to be the company carrying that flag. We Need Your Support We have industry-changing technology. We have the patents in motion. We have a B Corp charter evolution underway. What we need now is the fuel to deploy it — world class research, development resources and the backing to bring Private AI to the world. Regulation / Rule Obligation Sovereign Solution MNRPC Rule 1.6 (Minnesota Rules of Professional Conduct) Attorneys must make reasonable efforts to prevent unauthorized disclosure of client information. Applies explicitly to cloud AI tools. PII never leaves the building. AI is air-gapped. No cloud transmission possible. ABA Model Rule 1.1 (Technology Competence) Amended 2012 — attorneys must understand benefits and risks of technology, including AI systems that process client data. Deterministic, auditable system. Full log visibility for client IT. No black-box AI. ABA Formal Opinion 512 (2023) Addressed generative AI use by attorneys. Requires understanding how AI tools process and store client data before use. Zero data sent externally. Attorney retains full control and auditability. ABA Model Rule 1.6(c) (Data Security) Requires reasonable measures against unauthorized access. Cloud AI vendors retain data processing rights in standard agreements. Zero provider access post-installation. Architecturally impossible to breach remotely. Minnesota Data Practices Act (Minn. Stat. § 13) Governs collection, storage, use, and dissemination of data. Applies to firms handling government client matters. PII eliminated at gateway. No storage layer. Nothing to govern or disclose. HIPAA / HITECH Act Applies when firm handles protected health information for healthcare clients. Cloud AI tools are not HIPAA-compliant BAAs by default. PHI treated as PII — stripped at gateway. System is inherently HIPAA-compatible. GDPR (EU Regulation 2016/679) Applies when firm represents EU clients. Cloud AI processing may violate data residency requirements. All processing on-premises. No cross-border data transfer of any kind. FTC Safeguards Rule (16 CFR Part 314) Applies to law firms handling consumer financial information. Requires written information security program. Zero-PII architecture satisfies the security program requirement by design. Minn. Stat. § 325E.61 (Breach Notification) Requires notification within 30–60 days of breach. Class-action exposure for law firms. No PII stored = no breach possible = no notification required. Attorney-Client Privilege (Evidentiary) Communications processed through third-party cloud AI may be subject to privilege waiver arguments. No third-party processing. Privilege is structurally preserved. STRUCTURALINTEL.ORG INC. MASTER TERMS OF SERVICE Governing StructuralIntel.org Inc. and The Sovereign Shield Platforms Last Updated: April 6, 2026 1. 3. The client retains full responsibility for data governance, system configuration, and access controls outside the Platform's sovereign boundary. StructuralIntel.org Inc. does not warrant or guarantee any specific outcome. The Sovereign Shield Platform is architecturally designed to redact all PII within its defined ingestion boundary. Independent production testing has demonstrated a 100% redaction result across 500,000 records processed under controlled conditions. Full privacy policies for each environment are published separately and incorporated herein by reference. 9 User Accounts and Responsibilities 9.1 Account Creation Access to certain Services may require creation of an account. • Core Values | Structuralintel.org

Integrity is who we are when no one is watching. We choose ethics over convenience. Transparency, honesty, and accountability guide everything we build. STRUCTURALINTEL.ORG — OUR ETHICAL COMMITMENT Integrity is what you do when no one is looking. At StructuralIntel.org, this statement is more than a value. It is the foundation of our company. We build technology that protects people — not exploits them. We design systems that are transparent — not mysterious. And we operate with integrity — especially when nobody is watching. 1. Our Core Principle: Integrity Everything we do rests on one idea: Integrity is the sum of your actions when the world isn’t paying attention. This guides every part of our work: how we build, how we test, how we treat data, and how we serve our community. 2. Privacy Is a Human Right We believe every person deserves: dignity, safety, and control of their own information. That’s why we build deterministic, transparent, rule-based privacy systems — not black-box models or unpredictable algorithms. Our technology exists to protect people, not to extract from them. 3. No Dark Patterns. Ever. We do not use: manipulative interfaces hidden trackers data harvesting deceptive analytics or any practice that profits from user vulnerability We build technology as if someone we love is on the other side of the screen — because someone is. 4. Ethical Innovation Innovation only matters when it is responsible. We refuse to build features that: exploit communities, put data at risk, harm users, or generate profit at the expense of safety. If a feature is harmful, we don’t build it. Period. 5. Stewardship Over Profit We follow a Reinvestment-First philosophy: we reinvest in infrastructure, reinvest in privacy protections, reinvest in ethical technology, reinvest in community benefit. Only after mission needs are met do we consider discretionary distributions. This ensures long-term stability and public trust. 6. Leadership With Humanity We acknowledge that people work differently. Our leadership model: honors nonlinear work patterns, respects mental wellness, supports flexible environments, and focuses on outcomes — not rigid hours. We design a workplace where people can do their best work without sacrificing their health or identity. 7. Transparency by Design We operate openly because trust requires visibility. This includes: honest communication clear explanations ethical data governance accurate reporting and zero tolerance for hidden behavior If something affects your data or your privacy, you will know. 8. Commitment to Public Benefit We are building toward B-Charter (Public Benefit) alignment. This means: choosing mission over shortcuts, designing tech that serves communities, and holding ourselves accountable to ethical standards higher than profit. We exist to serve, not exploit. 9. How We Hold Ourselves Accountable Every member of our company — from Founder to future hires — is held to the same standards: honesty courage responsibility fairness patience respect Integrity is not optional. It is required. This is StructuralIntel.org A company built on: integrity, ethics, privacy, reinvestment, and public service. If you partner with us, work with us, or trust us with your data, you can be certain of one thing: We will act with integrity — especially when no one is looking. My football coach drilled this into me when I was young: Integrity is what you do when no one is looking. It became the lesson I taught my kids, and now it’s the principle this company is built on Let’s Work Together Get in touch so we can start working together. The Data Revolution The world is reaching a breaking point with data. Every organization — from small nonprofits to major institutions — is drowning in the cost, risk, and liability of storing personal information. The old model has become too expensive to maintain, and history shows what happens next: when a safer, more efficient structure appears, society eventually adopts it. Structuralintel.org Inc was built to demonstrate that new structure. Instead of protecting personal data, we remove it entirely. Our zero‑data architecture eliminates identity from the system, replacing it with tokenized, privacy‑native information that still allows organizations to function, comply, and innovate. The result is a model that is safer, faster, and dramatically more cost‑effective. This isn’t theory. It’s a working system. As a former history teacher, I’ve spent my life studying how societies shift from one era to the next. The Data Revolution is not a slogan — it’s the natural evolution of a digital world that can no longer sustain the burden of identity‑based data . When risk disappears, efficiency rises. When privacy becomes structural, trust becomes automatic. When compliance is deterministic, organizations thrive. We chose to become a B‑Corp and pledge 30% of our profits for a simple reason: to prove that a privacy‑first, zero‑extraction model is not only ethical — it’s economically sound. The system remains profitable even when you remove the exploitative layer. That’s the point. Structuralintel .org Inc exists to show what the next era looks like: a world where technology protects people, strengthens communities, and still keeps the economy strong. This is not disruption. This is modernization. This is the Data Revolution. Support Sovereign Shield — Help Build Rochester’s Privacy Future - And Stop the Data Hoarding FREE MEMBER SUPPORT TIER Start here. Look around.
